Terms of Service for Kamari

Welcome to Kamari (the “App”), a platform designed to empower online vendors in Nigeria by providing curated products for sale and managing order fulfillment. These Terms of Service (“Terms”) govern your access to and use of the App and its associated services (collectively, the “Services”) provided by Kamari Technologies Ltd. (“we,” “us,” or “our”).

By downloading, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy, which can be found at https://kamari.ng/privacy-policy. If you do not agree to these Terms, do not use the App.

  1. Definitions
    “App”: Refers to the Kamari mobile application.

“Platform”: Refers to the Kamari App and all associated services, systems, and infrastructure.

“Vendor” or “You”: Refers to an individual or entity using the App to select, market, and facilitate the sale of Products to Customers.

“Customer”: Refers to an end-consumer who purchases Products through a Vendor.

“Products”: Refers to the goods and items sourced by us and made available through the App for Vendors to sell.

“Inventory”: Refers to the virtual selection of Products a Vendor has chosen from our catalog within the App to promote and sell.

“Earnings”: Refers to the pre-determined profit margin a Vendor makes on the sale of a Product, as indicated in the App.

  1. Eligibility
    To use our Services, you must:

Be at least 18 years old.

Have the legal capacity to enter into a binding contract.

Reside in Nigeria.

Comply with all applicable Nigerian laws and regulations.

  1. Account Registration
    To use the App, you must register for an account. You agree to provide accurate and complete information and are responsible for safeguarding your account password. We reserve the right to suspend or terminate your account if you provide inaccurate information or violate these Terms.
  2. Description of Services
    Kamari provides Vendors with the following services:

Curated Product Sourcing: We source and list Products for Vendors to sell.

Virtual Inventory Management: Vendors select Products to add to their virtual “Inventory”. Physical stock is held by us.

Social Selling Tools: The App allows Vendors to easily share Product information with potential Customers.

Guaranteed Earnings Model: The App displays the specific amount the Vendor will earn upon a successful sale.

Centralized Order Creation & Fulfillment: We manage order processing, packaging, and delivery directly to the Customer.

Financial Tracking: The App provides tools to track orders, delivery costs, and accumulated Earnings.

  1. Vendor Responsibilities
    As a Vendor, you agree to:

Ethically market Products and provide accurate information to your Customers.

Be solely responsible for your interactions with your Customers.

Comply with all applicable laws and not engage in any fraudulent or misleading practices.

  1. Our Responsibilities (Kamari)
    We agree to:

Use reasonable efforts to maintain a catalog of quality Products.

Clearly indicate the Earnings for each Product.

Process and fulfill confirmed orders in a timely manner.

Provide Vendors with access to information regarding their order status and Earnings.

  1. Product Information, Pricing, and Earnings
    Product Descriptions: We strive to provide accurate descriptions and images but do not warrant they are error-free.

Pricing: The total price payable by the Customer includes the Product’s base price, the Vendor’s Earnings, and any applicable delivery costs.

Earnings: Vendor Earnings are predetermined and credited to the Vendor’s account upon successful completion of an order.

  1. Orders, Fulfillment, Delivery, and Returns
    Order Creation: Vendors are responsible for accurately creating new orders in the App.

Order Acceptance: We reserve the right to decline or cancel orders at our discretion.

Delivery: We arrange for the delivery of Products to the Customer’s specified address. Estimated delivery times are indicative and not guaranteed.

Returns and Refunds Policy:

Eligibility for Returns: A Customer may be eligible for a return or exchange only under the following conditions:

The item received is defective, damaged, or broken.

The wrong item (e.g., wrong size, color, or product) was delivered.

Returns for reasons such as “change of mind” are not accepted.

Initiating a Return: To initiate a return, the Vendor must contact Kamari support at support@kamari.ng on behalf of their Customer within 48 hours of the Customer receiving the item. The request must include the order number and clear photographic evidence of the defect or error.

Return Process: Upon approval of a return request, we will arrange for the collection of the item from the Customer at our own cost. The item must be in its original, unused condition with all tags and packaging intact.

Resolution: Once we receive and inspect the returned item, we will either:

Ship the correct/replacement item to the Customer.

If a replacement is not available, we will issue a full refund to the original payment method. The Vendor’s associated earnings for that sale will be reversed.

  1. Payments and Payouts to Vendors
    Accrual of Earnings: Vendor Earnings accrue as orders are successfully fulfilled.

Payout Schedule: We process payouts of accrued Earnings on a weekly basis, provided the Vendor has met the minimum payout threshold of ₦5,000 NGN.

Payout Method: Payouts will be made to the Nigerian bank account details provided by the Vendor.

Transaction Fees: Vendor Earnings displayed in the App are net of any platform transaction fees.

Disputes: Any disputes regarding Earnings must be submitted to us in writing within 14 days of the payout date.

  1. Intellectual Property
    The App, Services, and all underlying technology are owned by Kamari Technologies Ltd. We grant you a limited, non-exclusive, revocable license to use the App in accordance with these Terms. The Kamari name and logo are our trademarks and may not be used without our permission.
  2. Prohibited Conduct
    You agree not to use the App for any illegal or unauthorized purpose, infringe on intellectual property rights, transmit viruses, attempt to gain unauthorized access to our systems, or engage in any fraudulent activity.
  3. Termination
    You may terminate your account by contacting support at support@kamari.ng. We may suspend or terminate your account at our discretion if you violate these Terms. Upon termination, your right to use the Services will cease.
  4. Disclaimers
    THE APP AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE MAKE NO GUARANTEE REGARDING THE LEVEL OF SALES OR EARNINGS A VENDOR MAY ACHIEVE.
  5. Limitation of Liability
    TO THE FULLEST EXTENT PERMITTED BY LAW, KAMARI TECHNOLOGIES LTD. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL EARNINGS PAID BY US TO YOU IN THE THREE (3) MONTHS PRIOR TO THE CLAIM, OR (B) ₦20,000 NGN.
  6. Indemnification
    You agree to indemnify and hold harmless Kamari Technologies Ltd. from any claims, liabilities, or expenses arising out of your violation of these Terms or your use of the App.
  7. Privacy Policy
    Your use of the App is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy at https://kamari.ng/privacy-policy.
  8. Governing Law and Dispute Resolution
    These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be resolved through good-faith negotiation. If unresolved, the dispute shall be referred to arbitration in Lagos, Nigeria.
  9. Changes to Terms
    We reserve the right to modify these Terms at any time. We will provide at least 15 days’ notice of any material changes. Your continued use of the App after revisions become effective constitutes your acceptance of the new terms.
  10. Google Play Store Requirements
    These Terms are intended to comply with the Google Play Developer Distribution Agreement. You acknowledge that Google has no obligation to furnish any maintenance and support services with respect to the App.
  11. Miscellaneous
    These Terms, along with our Privacy Policy and Returns and Refunds Policy, constitute the entire agreement between you and Kamari Technologies Ltd.
